II. INJURY, CLAIM, LIABILITY, DAMAGE, OR DEFAULT OF ANY KIND (INCLUDING ATTORNEY'S FEES) RESULTING DIRECTLY OR INDIRECTLY FROM THE DELIVERY OR FAILURE TO DELIVER SERVICE OF PROCESS IN AMOUNT IN EXCESS OF ALL SERVICE FEES PAID BY YOU TO CORPORATE MINUTES, INC. FOR THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY; OR
III. SPECIAL, DIRECT, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER (INCLUDING ATTORNEY'S FEES), IN ANY WAY DUE TO, RESULTING FROM, OR ARISING IN CONNECTION WITH THE USE OF ANY CORPORATE MINUTES, INC. SERVICES, INABILITY TO USE THE WEB SITE, OR THE COMPLETENESS OR ACCURACY OF THE CONTENT.

Annual Report Preparation and Filing Services:

It is your responsibility to update Corporate Minutes, Inc. with any changes to your company information, including owners, officers, address, credit card information at least 90 days prior to your entity’s renewal due date. We maintain the right to charge the credit card on file with our office to complete your annual report filing without providing additional notice including any professional fees, processing fees and interest applied. If we need additional information or an updated credit card and cannot reach you after a reasonable number of attempts, we will be unable to process your Annual Reports which may result in additional fees, taxes, penalties and unfavorable governmental actions, including but not limited to suspension, revocation or inactive status of your business entity, criminal charges, inability to access courts within certain jurisdictions, suspension of your ability to do business with certain jurisdictions and/or loss of business entity and assumed names.
